ArrowLink Terms of Service

These Terms of Service ("TOS") govern your download, access to and use (as applicable) of ArrowLink, including the ArrowLink web application and mobile application (together, the “Service”), provided by ArrowSpot Systems Ltd. (“ArrowSpot”, “we”, “us”).

1. Acceptance of Terms

By creating an account, accessing or using the Service, you accept and agree to be bound by these TOS. If you do not agree to abide by the above, please do not use the Service. By using the Service, you further acknowledge that you have read, understood, and agree to be bound by these TOS.

2. Description of Service

ArrowLink provides cargo shipment status, condition and location information provided by our proprietary devices and presents it in ArrowLink proprietary dashboard and/or notification messages. The Service may be offered on both, paid and free tiers of service.

3. Use of the Service

Use of the Service is subject to all of the following:

• You must form a binding agreement with us by subscribing to the Service as per these TOS. When subscribing, you must: (i) provide us with accurate information at all times and promptly update your account information; (ii) maintain the confidentiality of your credentials, passwords, access codes and account activity; (iii) notify us immediately of any unauthorized use of the Service.
• You agree to use the Service lawfully, notify us immediately on any unlawful activity and not to: (i) violate any law or the rights of others; (ii) interfere with, disrupt the Service, or attempt to gain unauthorized access to the Service or its systems; (iii) reverse engineer, copy, or resell the Service; (iv) upload a malicious code or misleading, unlawful, or infringing content; (v) Use the Service to track or monitor individuals or entities without a lawful basis and appropriate consent; (vi) Use automated tools to access the Service without permission.
• Certain features of the Service rely on device location. You are responsible for obtaining any consents required from individuals or entities whose location may be processed through your use of the Service, and for using location functionality in compliance with applicable law.

4. Fees

Where the Service or specific features are offered for a fee, applicable pricing and payment terms will be presented to you before you incur charges. Fees are non-refundable except where required by law or expressly stated. We reserve the right to change pricing with a 30 days prior notice. Accounts may be suspended for non-payment.

5. Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by ArrowSpot and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the data you submit and grant us the rights needed to operate and provide the Service.

6. Third-party services and app stores

The Service may rely on third-party services and is distributed through the Apple App Store and Google Play. Your use of those platforms is subject to their terms and conditions. The app stores are not responsible for the Service and are not party to these TOS.

7. Privacy

You must review our Privacy Policy at https://legal.arrowspot.com/privacy, which governs your use of the Service. Note that we comply with all obligations under the General Data Protection Regulation ((EU) 2016/679) ('GDPR') and any applicable data protection laws. We process personal data only as needed to perform the Service and in doing so we (i) process personal data only on documented instructions; (ii) ensure that staff handling the data are bound by confidentiality; (iii) implement proper technical and organizational security measures; and, engage sub-processors only with prior consent and delete or return data upon completion.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that location data will be accurate or complete. We do not warrant the completeness or accuracy of data provided by third-party carriers nor are we responsible for delays in data updates from carriers, inaccuracies in carrier-provided information, service interruptions from carrier systems and business decisions made based on the Service.

9. Limitation of Liability

To the maximum extent permitted by law, ArrowSpot will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months preceding the event, or, where no fee was paid, a limited amount as permitted by applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these TOS or where necessary to protect the Service, our interests or other users. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.

11. Governing law and Jurisdiction

These TOS are governed by the laws of the State of Israel, without regard to conflict-of-law rules, and disputes will be resolved in the courts of the District of Tel Aviv, Israel to the exclusion of all other venues.

12. Amending these TOS

We may update or amend these TOS from time to time; material changes will be notified through the Service or by email, and continued use after changes take effect shall constitutes acceptance.
